Please read these Terms and Conditions carefully. By accessing or using any product, service, platform, or website operated by Staxx Global Technology Solutions LLC DBA SGTS or AIAGENT24, you agree to be bound by these terms. If you do not agree, do not use our services.

Section 01

Parties and Agreement

These Terms and Conditions constitute a binding legal agreement between you (the "Client" or "User") and Staxx Global Technology Solutions LLC, doing business as SGTS and/or Staxxgts ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Georgia, United States of America.

AIAGENT24 is a proprietary AI workforce platform owned and operated by Staxx Global Technology Solutions LLC DBA SGTS. References to "AIAGENT24," "SGTS," or "the Platform" in these Terms refer to all products, services, websites, and tools operated under the Staxx Global Technology Solutions LLC DBA SGTS umbrella.

By submitting a form, requesting a service, purchasing a subscription, clicking to accept, or using any SGTS or AIAGENT24 product or service, you confirm that you have read, understood, and agreed to these Terms in their entirety.

Section 02

Services Provided

Staxx Global Technology Solutions LLC DBA SGTS provides the following categories of services through the AIAGENT24 platform and related engagements:

  • AI Workforce Deployment: Design, configuration, training, and deployment of named AI agents for lead capture, audit scoring, outreach, onboarding, client experience, and operational management.
  • Lead Generation Subscriptions: Recurring delivery of audited, scored prospect leads generated through the AIAGENT24 system.
  • Executive and AI Consulting: Strategic advisory services for AI adoption, digital transformation, and change management.
  • Healthcare Technology Solutions: HIPAA-aligned AI systems and digital health infrastructure for healthcare organizations.
  • Marketing and Campaign Management: Social media, email, WhatsApp, and digital advertising campaign management through the Luxe AI agent and SGTS creative team.
  • AI Video and Avatar Production: HeyGen-powered AI avatar video production for business use.
  • Intermediary and Partnership Services: Strategic representation for enterprise deals, government procurement, and international technology partnerships.
  • Government Digital Transformation: AI deployment, systems modernization, and advisory for public sector organizations.

Specific services, deliverables, timelines, and fees for each engagement are governed by the applicable Service Agreement (SA) executed between the Client and SGTS. These Terms apply to all engagements unless superseded by a written agreement.

Section 03

AI-Generated Content Disclosure

SGTS and AIAGENT24 use artificial intelligence to generate content across multiple channels and platforms, including but not limited to:

  • Website copy, sections, and page content
  • Funnel pages and landing pages on aiagent24.staxxgts.com
  • WhatsApp and SMS automated messages
  • Email campaign sequences
  • Social media posts and advertisements on Facebook, Instagram, and LinkedIn
  • AI avatar videos produced via HeyGen and similar platforms
  • Audit reports, scoring outputs, and revenue estimates generated by the Nova AI agent
  • Operational documents and client-facing materials produced by the AIAGENT24 agent workforce

By engaging with SGTS or AIAGENT24 products, you acknowledge that AI-generated content may be used in communications directed to you and in materials produced on your behalf. All AI-generated content deployed through AIAGENT24 is reviewed, supervised, and governed by SGTS operational standards.

Revenue estimates, audit scores, and opportunity calculations produced by the Nova AI Audit Strategist are based on the data you provide and weighted scoring algorithms. These outputs are informational and directional — they do not constitute financial advice, guarantees of revenue, or legally binding projections.

Use of SGTS and AIAGENT24 systems is additionally governed by the SGTS Acceptable Use Policy and AI Governance Statement, which establish operational boundaries, responsible AI expectations, escalation standards, and prohibited misuse protections.

Section 04

A2P SMS Compliance

SGTS A2P 10DLC Compliance Statement

All SMS and WhatsApp messages sent through the AIAGENT24 platform comply with A2P 10DLC regulations as governed by The Campaign Registry (TCR) and major US wireless carriers. SGTS phone lines are fully registered and verified under A2P 10DLC standards.

By providing your phone number through any SGTS or AIAGENT24 form, website, or direct communication, you consent to receive SMS and WhatsApp messages from Staxx Global Technology Solutions LLC DBA SGTS related to:

  • Your AI audit results and scoring
  • Appointment confirmations and reminders
  • Service updates and onboarding communications
  • Marketing communications related to SGTS and AIAGENT24 services (where separately consented)

Message and data rates may apply. Message frequency varies based on your engagement with SGTS services.

To opt out of SMS communications at any time, reply STOP to any SGTS message. For assistance, reply HELP or email hello@staxxgts.com.

SGTS does not sell or share your phone number or SMS opt-in data with third parties for marketing purposes. Consent to receive SMS messages is not a condition of purchasing any SGTS service.

Section 05

Client Responsibilities

By engaging SGTS or using the AIAGENT24 platform, you agree to:

  • Provide accurate, complete, and current information in all forms, agreements, and communications with SGTS.
  • Use SGTS services only for lawful business purposes in compliance with all applicable local, state, national, and international laws.
  • Maintain the confidentiality of any login credentials, access links, or platform access provided by SGTS.
  • Not attempt to reverse-engineer, replicate, resell, sublicense, or distribute any SGTS or AIAGENT24 product, system, agent configuration, or proprietary workflow without written authorization.
  • Notify SGTS promptly of any unauthorized access to your account or any security concern related to SGTS services.
  • Cooperate with SGTS during the onboarding, deployment, and management phases of your AI workforce engagement, including timely provision of required business information, approvals, and feedback.
  • Ensure use of SGTS and AIAGENT24 systems aligns with the SGTS Acceptable Use Policy and applicable AI governance standards.
Section 06

Payment Terms

Payment terms for all SGTS engagements are established in the applicable Service Agreement (SA). The following general terms apply to all SGTS services unless the SA specifies otherwise:

  • Setup Fees: One-time setup fees are due in full prior to the commencement of any deployment work.
  • Monthly Retainers: Recurring monthly fees are billed in advance on the anniversary date of the go-live milestone. Monthly fees do not begin until system go-live is confirmed.
  • Subscription Services: Lead generation subscriptions and campaign management retainers are billed monthly in advance and auto-renew unless cancelled with 30 days written notice.
  • Late Payments: Accounts with outstanding balances beyond 15 days may result in suspension of services. SGTS reserves the right to apply a late fee of 1.5% per month on overdue balances.
  • Refunds: Setup fees are non-refundable once deployment work has commenced. Monthly retainer fees are non-refundable for the current billing period. Any exceptions require written approval from SGTS leadership.

All fees are quoted and billed in United States Dollars (USD) unless otherwise specified in writing for international engagements.

Section 07

Intellectual Property

All SGTS and AIAGENT24 intellectual property — including but not limited to the AIAGENT24 platform architecture, agent configurations, workflow systems, brand assets, avatar designs, video content, training methodologies, audit scoring algorithms, prompt libraries, and operational playbooks — is the exclusive property of Staxx Global Technology Solutions LLC DBA SGTS.

Client-provided materials, data, and business information remain the property of the Client. SGTS uses Client information solely to deliver the contracted services and does not claim ownership over Client business data.

SGTS grants Clients a limited, non-exclusive, non-transferable license to use the AIAGENT24 system and outputs for their internal business operations during the term of their active agreement. This license does not permit resale, sublicensing, or redistribution.

Any work product created by SGTS specifically for a Client — including custom agent scripts, branded funnel pages, and custom video content — is delivered to the Client upon full payment and subject to the terms of the SA.

Section 08

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. SGTS treats all Client business data, financial information, and operational details as confidential. Clients agree to treat all SGTS system configurations, agent architectures, pricing structures, and operational methodologies as confidential.

Confidential information does not include information that is or becomes publicly available through no breach of this agreement, was independently developed without reference to the disclosing party's confidential information, or is required to be disclosed by law or court order.

External contractors and developers engaged by SGTS on Client projects are required to execute a Non-Disclosure Agreement (NDA) and Non-Circumvention Non-Disclosure Agreement (NCNDA) prior to any access being granted. This requirement is non-negotiable and applies to all third-party engagements without exception.

Section 09

Data and Privacy

SGTS collects and processes personal data in accordance with our Privacy Policy, available at aiagent24.staxxgts.com/privacy. By using SGTS services, you consent to the collection and use of your data as described in the Privacy Policy.

SGTS does not sell personal data to third parties. Data collected through SGTS and AIAGENT24 systems is used exclusively to deliver contracted services, communicate with clients and prospects, and improve system performance.

For healthcare clients, SGTS configures HIPAA-aligned data handling protocols. The specific HIPAA compliance configuration applicable to your engagement is documented in your Service Agreement (SA).

For international clients, including clients operating in Nigeria, SGTS deploys data handling practices aligned with the Nigeria Data Protection Regulation (NDPR). Specific NDPR compliance addenda are included in international Service Agreement (SA)s.

Section 10

Limitation of Liability

To the fullest extent permitted by applicable law, Staxx Global Technology Solutions LLC DBA SGTS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising from or related to your use of SGTS services or the AIAGENT24 platform.

SGTS's total aggregate liability for any claim arising from or related to these Terms or the services provided shall not exceed the total fees paid by the Client to SGTS in the three months preceding the claim.

AI audit scores, revenue estimates, and opportunity calculations produced by AIAGENT24 are based on data provided by the Client and are informational in nature. SGTS does not guarantee specific revenue outcomes, conversion rates, or business results from the use of the AIAGENT24 platform.

Platform Availability: SGTS operates on GoHighLevel (GHL) infrastructure. While SGTS takes reasonable steps to ensure uptime and system availability, SGTS is not liable for service interruptions caused by third-party platform outages, carrier disruptions, or force majeure events beyond SGTS's reasonable control.

Section 11

Term and Termination

Each SGTS engagement commences on the date specified in the applicable Service Agreement (SA) and continues for the agreed term. Month-to-month services continue until cancelled by either party with 30 days written notice sent to hello@staxxgts.com.

SGTS reserves the right to suspend or terminate services immediately upon written notice in the following circumstances:

  • Non-payment of fees beyond 15 days past due
  • Client violation of these Terms or the applicable SA
  • Client use of SGTS services for unlawful purposes
  • Any action by the Client that poses a risk to SGTS systems, other clients, or third parties

Upon termination, Client access to the AIAGENT24 platform is revoked. SGTS will provide reasonable assistance in transitioning Client data upon written request, subject to applicable fees for data export and transition services.

Section 12

Governing Law and Jurisdiction

These Terms and all engagements with Staxx Global Technology Solutions LLC DBA SGTS are governed by the laws of the State of Georgia, United States of America, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or SGTS services that cannot be resolved through good-faith negotiation shall be subject to binding arbitration in Gwinnett County, Georgia, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, SGTS reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

SGTS reserves the right to update or modify these Terms at any time. Material changes will be communicated via email to active clients and posted on this page with an updated effective date. Continued use of SGTS services after the effective date of any update constitutes acceptance of the revised Terms.

How long does deployment take?
A standard AIAGENT24 deployment takes 7 to 21 business days from signed agreement and setup fee receipt to system go-live. Timeline depends on the number of agents, the complexity of the workflows, and the speed of client onboarding cooperation. Your deployment timeline is documented in your Service Agreement (SA).
What does Nova's AI Audit actually measure?
Nova scores your operation across four weighted dimensions: inquiry volume (25%), after-hours coverage gap (30%), average response time (25%), and renewal process efficiency (20%). The resulting score from 0 to 100 reflects your AI readiness and the estimated annual revenue recoverable through AI implementation. Scores and revenue estimates are based on the data you provide and are directional — not financial guarantees.
Is my data secure and private?
Yes. SGTS does not sell your data to any third party. All prospect and client data collected through AIAGENT24 is stored securely within your dedicated GH365 sub-account and is accessible only to authorized SGTS team members and, where applicable, authorized members of your own team. Healthcare clients receive HIPAA-aligned data handling configurations. International clients receive NDPR-aligned handling. Full details are in our Privacy Policy.
Do I need to sign a contract?
Yes. All SGTS engagements are governed by a Service Agreement (SA) that defines the scope, deliverables, fees, timeline, and responsibilities for both parties. The SA is a mutual protection for both SGTS and our clients. No deployment begins without a signed SA and receipt of the setup fee.
Can I cancel my subscription?
Month-to-month subscriptions may be cancelled with 30 days written notice to hello@staxxgts.com. Fixed-term agreements follow the cancellation terms documented in the Service Agreement (SA). Setup fees are non-refundable once deployment work has commenced. Monthly fees for the current billing period are non-refundable.
Who are the AI agents and are they real people?
The AIAGENT24 agents — including Quest, Nova, Mya, Orion, Echo, Pilot, Luxe, and others — are AI-powered agents, not human employees. They are trained, configured, and supervised by SGTS to operate within defined role boundaries and approved scripts. All AI-generated content and communications are disclosed as such in our AI Content Disclosure policy. The agent avatars are AI-generated images produced through HeyGen and similar platforms.
What happens if I text or WhatsApp your business number?
Messages sent to SGTS phone lines are received and responded to by Mya, our AI Receptionist agent, operating through the AIAGENT24 platform. Mya can answer questions about SGTS services, book audit appointments, schedule demos, and route complex inquiries to the appropriate team member. All SGTS phone lines are A2P 10DLC registered and compliant. Reply STOP at any time to opt out of automated messages.
Does SGTS serve clients outside the United States?
Yes. SGTS operates US and Africa regional deployments.
